Introduction

Our legal relationship with our customers is governed by the relevant Terms and Conditions of Use. These are available at  www.flexischools.com.au/legal. 

Our Financial Services Guide (FSG) is designed to help you decide whether to use any of the financial services we provide. 

Our Product Disclosure Statement (PDS) contains information you require to make an informed choice about whether or not to register for and use our Services. 

Information relevant to both the FSG and PDS may be included expressly in one part and incorporated by reference in the other. 

Part A: Financial Services Guide

Part A of this document is an FSG issued by InLoop Pty Ltd ABN 27 114 508 771 (trading as Flexischools) which holds Australian financial services licence number 471558 (Flexischools).

All Services will be provided by Flexischools. You can give us instructions by using the contact details set out in this FSG below. A reference to “us”, “we” or “our” in this FSG means Flexischools. 

Purpose and content of this FSG

This FSG: 

  1. is designed to assist you in deciding whether to use any of the financial services we provide; 
  2. contains information about the Services we provide and the remuneration (including commission and other benefits) that may be paid to us and others in connection with the financial services we provide; and 
  3. contains information on how complaints against us are dealt with. 

This FSG only contains general information about the financial services we offer.

Financial services we are authorised to provide

Flexischools is authorised to carry on a financial services business to: 

  1. provide general financial product advice for non-cash payment products; and 
  2. issue, apply for, acquire, vary or dispose of non-cash payment products, to retail and wholesale clients. 

We are only authorised to provide general advice so you should be aware that any advice (including any statement of opinion or recommendation) we may give about our Services does not take into account your objectives, financial situation or needs. You should consider carefully the appropriateness of our Services in regard to your circumstances before you act on any advice we provide. 

Remuneration, commissions and other benefits

Fees and Charges 

Flexischools earns money from any fees and other costs that apply to use of the Flexischools Service, including the Fees as described in the PDS in Part B of this document. Flexischools also earns interest on the money we hold in a bank account from time to time, and which reflects your Account balance. 

Employees 

Employees of Flexischools receive salary plus superannuation where applicable. They may also be eligible for performance benefits in the form of monetary and non-monetary awards or additional incentive payments, including bonuses and shares. 

Third party referrals 

If a third party refers a customer to us, we may: 

  • pay the referrer a fee calculated as a percentage of the fees generated by the customer; 

  • pay the referrer a fixed amount for each referred customer; or 

  • provide the referrer monetary or non-monetary incentives based on various measures. 

You can request more information about the remuneration payments referred to above, however you must do so within a reasonable time after you are given this FSG and before we provide any Services to you. 

Associations

Flexischools does not have any relationships or associations that might reasonably be expected to be capable of influencing us in providing you with our financial services. 

Complaints

Please note that any complaints about any Goods or services acquired or paid for using the Services should be resolved directly with the relevant Supplier. 

We are committed to dealing with customer complaints in relation to the financial services which we provide fairly and efficiently, and resolving issues in accordance with our complaints handling processes and policies and relevant regulatory standards. 

Submitting a complaint 

If you have a complaint about our financial services or believe your Account may be subject to an unauthorised transaction, account takeover or other type of fraudulent activity, you should contact us immediately.

Handling your complaints 

We aim to: 

  1. acknowledge receipt of complaints within 24 hours or as soon as practicable; 
  2. respond to all complaints within 30 days. 

If we are not able to provide you a response within 30 days, we will inform you of reasons for the delay, advise you of your right to complain to the Australian Financial Complaints Authority (AFCA) and give you AFCA’s contact details. 

Referral of unresolved complaints to external dispute resolution scheme 

We are a member of the Australian Financial Complaints Authority (AFCA), an independent external dispute resolution scheme covering applicable Australian customers. 

If an issue has not been resolved to your satisfaction, you can lodge a complaint with AFCA. AFCA provides fair and independent financial services complaint resolution that is free to consumers:

Compensation arrangements

Flexischools maintains professional indemnity insurance that satisfies the requirements for compensation arrangements under section 912B of the Corporations Act 2001 (Cth). The policy maintained by Flexischools provides coverage subject to its terms up to the sum insured for us, to cover claims regarding professional indemnity. 

Privacy and AML-CTF

As a financial services licence holder, we may have certain obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth), and therefore need to obtain certain information from you when opening an Account. If we are not able to collect all information requested, then we may be unable to provide or to continue to provide the Services. 

We may keep a copy of personal information that you give to us, but your privacy is important to us and we are committed to comply with the Australian Privacy Principles and the Privacy Act 1988 (Cth). A copy of our Privacy Policy is available from www.flexischools.com.au/legal. 

Part B: Product Disclosure Statement

Part B of this document is a Product Disclosure Statement (PDS) issued by InLoop Pty Ltd ABN 27 114 508 771 (trading as Flexischools) which holds Australian financial services licence number 471558.

This PDS is an important document which provides information about our Services to assist you in making an informed decision about whether the Services will meet your needs.

This PDS updates the previous version dated 27 January 2025, as amended by Supplementary PDS dated 26 January 2026.Please read all of this PDS (and the Terms and Conditions of Use) carefully before deciding whether to use our Services. 

About this PDS

This PDS only applies to you if you reside in Australia. 

The information in this PDS is current as at the date of issue. 

The information in this PDS is not intended to constitute advice, nor is it a recommendation or opinion that our Services are suitable for or take into account your specific objectives, financial situation or needs.

Our services

Our Services allow you to securely and conveniently order Goods and services from, and make payments to, Suppliers with respect to the Goods and services ordered or purchased. To find out more visit the Flexischools Website.

When you register to use our Services we will open an Account using the details supplied.

Our Services allow you to: 

  1. (order) pre-order Goods and services from Suppliers; 
  2. (make payment) pay Suppliers for Goods and services;
  3. (authorised Transactions) authorise others to use a device or other method to pay for Goods and services from Suppliers at the point of sale, using the funds in your Account; and 
  4. (communications) receive communications and notifications from schools, Suppliers, Flexischools-approved third parties and/or Flexischools. 

In consideration for your use of the Services, you irrevocably transfer and assign to us the right to earn interest that may accrue on funds held by us. This applies only to interest earned on your funds and does not grant us any ownership right to the principal of funds you hold with us.

Opening an Account

You can register for our Services at the Flexischools Website by clicking “Sign Up” (or similar) on the top of the page and completing the online registration form. 

Terms and conditions 

If you register to use our Services, this PDS, the Terms and Conditions of Use and your completion of the online registration form constitute your agreement with us.

How we manage funds in your Account

Any funds held in your Account is client money, which we hold under s981B of the Corporations Act 2001 (Cth). These funds will be pooled with money from Accounts of other customers and deposited into designated client money account/s at a licensed bank in Australia, on trust for our customers. 

Significant risks

The following are some of the significant risks associated with use of the Services: 

Suppliers – Flexischools is not the supplier of any Goods or services you Order, purchase and/or receive using the Services. In most cases, Flexischools is not responsible for, nor does it have any control over, the promotion of Goods and services. Flexischools is not responsible for, nor does it have any control over, the provision of such Goods and services or the quality or fitness for purpose of those Goods and services. There is a risk that a Supplier may misrepresent Goods or services, fail to provide those Goods or services, fail to provide Goods or services in a way that you may have expected, or that the Goods and services are not of the expected quality. 

Mistaken transactions – There is a risk that you may make a mistaken or erroneous Transaction or Order while using your Account. You are responsible for any mistakes or errors made while using your Account. 

Unauthorised transactions or access – There is a risk your Account may be compromised and subject to an account takeover, unauthorised Transaction, unauthorised Order or other type of fraudulent activity. This includes circumstances where you, or someone authorised by you such as your child, performs Transactions using a device or other method linked to your Account and that device is lost or stolen, or the person you have authorised is impersonated.

You may be liable for losses arising from an unauthorised Transaction or Order where you have breached the Terms and Conditions of Use (for example, failure to keep your Account information and password confidential).

Hold on funds, account limitation and account closure – Your Account and funds in it may be subject to a hold, limitation or closure for a variety of reasons, including suspected fraud, if we believe there is risk associated with you or your Account or breaches of our Terms and Conditions of Use or any other policy or agreement you have entered into with us relating to our Services. 

Unavailability of our Services – Whilst we make every attempt to ensure our Services are available at all times, it is possible that they may be rendered temporarily unavailable from time to time. 

Significant benefits

The following are some of the significant benefits available to you when using our Services: 

Convenience – order and pay for a range of goods and services from home, or your mobile device , without having to visit the school or process the transaction manually. Cashless – Removes the need for your child to carry cash at school and reduces issues associated with carrying cash at school. 

Transaction History – Gives you access to a detailed record of every Order placed, and Transaction made through the Service. 

Peace of mind – Flexischools has operated since 2008 and is used at more than 2000 Australian schools. Everyday our team works to ensure Orders are successfully received by the Supplier. 

Fees and other costs

Order Fee, Transaction Fee, Platform Fee

The exact Order, Transaction, and/or Platform Fee that may apply to your use of the Flexischools Services depends on the arrangement between us and each Supplier.

Where these Fees do apply to your use of the Flexischools service, they will be based on the standard Fees and charges set out below.

Order Fee 

A Fee charged for each Order placed using the Account. 

Advised at the time of placing an Order, but an amount between: 

  • for food services: $0.29 to $0.50 per Order, payable at the time the Order is placed. 

  • for non-food services: $0.00 to $2.50, payable at the time the Order is placed.

Transaction Fee

A Fee charged when a Transaction is performed at the point of sale with a device or other method, linked to your Account.

  • For food services: $0.18 to $0.25 per Transaction, payable at the time of the Transaction.

  • For non-food services: $0.00 to $2.50 per Transaction, payable at the time of the Transaction.

Platform Fee

An Account service Fee, payable at the time funds are added to your Account balance. Advised at the time of adding funds to the Account, but an amount up to:

  • $0.22, payable at the time funds are added to the Account.

Fee calculation examples 

Order Fee example 1

An Account holder placing online Orders for their two children, student A and student B from a Supplier where the food services Order Fee is 39c per Order:

  • Online Order for student A, for lunch on Monday $8.00: 39c Order Fee

  • Online Order for student B, for lunch on Monday $8.00: 39c Order Fee

Total price at checkout for two Orders will be:

$16.00 + $0.78

$16.78 total

Order Fee example 2

An Account holder placing online Orders for their one child, student C from a Supplier where the food services Order Fee is 35c per Order:

  • Online Order for student C, for lunch on Monday $7.50: 35c Order Fee

  • Online Order for student C, for recess on Monday $2.00: 35c Order Fee

  • Online Order for student C, for lunch on Tuesday $10.00: 35c Order Fee

Total price at checkout for three Orders will be:

$19.50 + $1.05

$20.55 total

Order Fee example 3

An Account holder placing online Orders for their two children, student D and student E.

The non-food services Order Fee at student D’s Supplier is $1.50 per Order, and the food services Order Fee at student E’s Supplier is 0c per Order:

  • Online Order for student D, for a school hat $20.00: $1.50 Order Fee

  • Online Order for student E, for lunch on Thursday $9.50: 0c Order Fee

  • Online Order for student E, for lunch on Friday $15.00: 0c Order Fee

Total price at checkout for three Orders will be:

$44.50 + $1.50

$46.00 total

Student Card Transaction Fee example 1

An Account holder has authorised their child, student F, to perform Transactions at the school’s canteen, using their barcoded student card linked to the Account. The Transaction Fee for food services Transactions at student F’s Supplier is 18c per Transaction.

  • Student F selects food and drink items that total $15.00: 18c Transaction Fee

Total price at checkout for this Transaction will be:

$15.00 + $0.18

$15.18 total

Student Card Transaction Fee example 2

An Account holder has enabled their child, student G, to perform Transactions at the school’s canteen. The canteen operator looks up the Account using student G’s details at the point of sale. The Transaction Fee for food services Transactions at Student G’s Supplier is 20c per Transaction.

  • Student G selects food items that total $5.00: 20c Transaction Fee

Total price at checkout for this Transaction will be:

$5.00 + $0.20

$5.20 total

Student G returns later that day to purchase additional items from the school’s canteen. The canteen operator looks up the Account using the student G’s details at the point of sale.

  • Student G selects food items that total $10.00: 20c Transaction Fee

Total price at checkout for this Transaction will be:

$10.00 + $0.20

$10.20 total

Platform Fee example 1

An Account holder adds $100 to their Account balance using electronic funds transfer. $100.22 total

Platform Fee example 2

The total value of an Account holder’s Orders at checkout is $45.00. They pay with a Visa debit card. $45.22 total

Platform Fee example 3

An Account holder adds $50 to their Account balance using a Mastercard credit card. $50.22 total

Inactive Account Fee 

A Fee charged periodically, where an Order or Transaction has not been performed on your Account for a period of 12 months.

  • $1.50 per month, payable at the end of each applicable month.

Inactive Account Fees will not reduce the balance of the Account below zero. 

Unreconcilable electronic funds transfers

Flexischools will be entitled to recover its reasonable costs of managing electronic funds transfers from bank accounts where the reference code provided to you by Flexischools was not used, and the transfer cannot otherwise be identified and reconciled to your Account within 12 months of the date of the transfer. These costs could be up to $100 per annum for each unreconcilable transfer, but they will not reduce the balance of your Account below zero.

Third party debit, credit or prepaid card fees 

When you use your Debit, Credit or Prepaid Card to deposit funds to your Account you will be subject to the usual fees and interest, if any, charged by your Debit, Credit or Prepaid Card provider. 

Changes to Fees

We may vary the Fees and charges (including by increasing or decreasing existing Fees or charges or introducing new Fees or charges) that apply to your Account at any time upon prior notice to you. 

Taxation implications

There may be tax implications with any transactions you enter into with us. You should obtain independent taxation advice about any taxation implication for you of using the Services.

Cooling off

You should be aware that cooling off rights do not apply to your use of our Services. 

Glossary

Account
an online account provided by Flexischools, restricted by a username and password, and which allows you, or a person authorised by you, to access the Service. 
App Store
means an online store for purchasing and downloading software and applications for mobile phones and other devices.
Flexischools
InLoop Pty Ltd ABN 27 114 508 771 (trading as Flexischools) AFSL 471558. 
Flexischools App
means the Flexischools software application available through an App Store.
Flexischools Website
means the website that hosts the Software at www.flexischools.com.au and any sub-domains related to this site. 
Goods
mean food, drinks, uniforms and other items supplied by a Supplier.
Order
means an order for Goods or services placed via the Account:
(a) per person per meal service, for food and/or drinks provided by a Supplier; and
(b) per person for uniforms, fundraising, special meal services, events or other services provided by a Supplier,
and Orders means more than one of these.
Services
The non-cash payment services provided by us and available through your Account and pursuant to which you can access Goods and services from the relevant Supplier. 
Software
means the software or tools, and related functionality, provided or made available by Flexischools for use with the Services.
Supplier
An entity from which Goods and/or services may be purchased using the Services (e.g. your child’s school, parent committee, canteen provider, or uniform shop supplier). 
Transaction
means a purchase of Goods or services using the Account;
